1. Eligibility

2. Use of the Service

• Use the Service to build or benchmark a competing product
• Interfere with or disrupt platform integrity or performance

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Intellectual Property

a. Platform

All rights, title, and interest in the Service, including software, models, and methodologies, remain the exclusive property of the Company.

b. Customer Data

You retain ownership of the data you provide ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service.

c. Outputs

You may use generated reports and outputs for internal business purposes. No rights are granted to reproduce, resell, or distribute outputs externally without prior written consent.

5. AI-Generated Outputs Disclaimer

The Service generates outputs based on user inputs and available data sources. Outputs:

• May be incomplete, inaccurate, or outdated
• Are provided for informational purposes only
• Do not constitute legal, financial, or business advice

You agree not to rely on outputs as the sole basis for decisions. The Company is not responsible for any actions taken based on outputs.

6. Fees and Payment

All fees are billed as agreed. Failure to pay may result in suspension or termination of access. Fees are non-refundable unless otherwise stated.

7. Termination

We may suspend or terminate access at our discretion for violations of these Terms or non-payment.

Upon termination:

• Your access to the Service will be revoked
• We may delete Customer Data after a reasonable retention period unless legally required otherwise

8. Limitation of Liability

To the fullest extent permitted by law:

• The Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, or business opportunities.
• The Company's total cumulative liability shall not exceed the amount paid by you to the Company in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company from any claims, damages, liabilities, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your Customer Data or inputs

11. Arbitration and Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

• You agree to waive any right to participate in class actions or class arbitration

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

13. Force Majeure

The Company shall not be liable for delays or failure to perform due to causes beyond its reasonable control, including outages, cyberattacks, natural disasters, or infrastructure failures.

14. Export Compliance

You agree to comply with all applicable U.S. export control laws and regulations and will not use the Service in prohibited jurisdictions.

15. Changes to Terms

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
